神諱處仁，字山伯，姓梁氏，會稽人也。神母夢日貫懷，孕十二月，時東晉穆帝永和壬子三月一日，分瑞而生。幼聰慧有奇，長就學，篤好墳典。嘗從名師，過錢塘，道逢一子，容止端偉，負笈擔簦，渡航相與。坐而問曰：「子為誰？」曰：「姓祝，名貞，字信齋。」曰：「奚自？」曰：「上虞之鄉。」曰：「奚適？」曰：「師氏在邇。」從容與之討論旨奧，怡然自得。神乃曰：「家山相連，予不敏，攀魚附翼，望不為異。」於是樂然同往。肄業三年，祝思親而先返。後二年，山伯亦歸省。之上虞，訪信齋，舉無識者。一叟笑曰：「我知之矣。善屬文，其祝氏九娘英台乎？」踵門引見，詩酒而別。山伯悵然，始知其為女子也。退而慕其清白，告父母，求姻，奈何已許鄮城廊頭馬氏，弗克。神喟然嘆曰：「生當封侯，死當廟食，區區何足論也。」後簡文帝舉賢，郡以神應召，詔為鄮令。嬰疾弗瘳，囑侍人曰：「鄮西清道源九隴墟為葬之地也。」瞑目而殂。寧康癸酉八月十六日辰時也。郡人不日為之塋焉。又明年，乙亥暮春丙子，祝適馬氏，乘流西來，波濤勃興，舟航縈回莫進。駭問篙師。指曰：「無他，乃山伯梁令之新冢，得非怪歟？」英台遂臨冢奠，哀慟地裂而埋葬焉。從者驚引其裙，風烈若雲飛，至董溪西嶼而墜之。馬氏言官開槨，巨蛇護冢，不果。郡以事異聞於朝，丞相謝安奏請封義婦冢，勒石江左。至安帝丁酉秋，孫恩寇會稽，及鄮。妖黨棄碑於江，太尉劉裕討之。神乃夢裕以助，夜果烽燧熒煌，兵甲隱見，賊遁入海。裕嘉奏聞，帝以神助顯雄，褒封「義忠神聖王」，令有司立廟焉。越有梁王祠，西嶼有前後二黃裙。會稽廟，民間凡旱澇疫癘，商旅不測，禱之輒應。宋大觀元年季春，詔集《九域圖志》及《十道四蕃志》，事實可考。夫記者，紀也，以紀其傳，不朽雲爾。為之詞曰：生同師道，人正其倫。死同窀穸，天合其姻。神功於國，膏澤於民。謚文溢忠，以祀以禋，名輝不朽，日新又新。
從《義忠王廟記》來看，李茂誠雖謂「記者，紀也」，言之鑿鑿，但是記述之中可見虛構成份。他記錄了梁山伯的身世、功跡等，加入了梁、祝的對話，情節甚是完整生動，特別是梁山伯具有了「神」的地位，顯靈退寇，頗具傳奇色彩。同時，李茂誠首次記述了梁山伯的生卒年月。梁山伯生於公元352年農歷三月初一，死於373年農歷八月十六，終年21歲，未曾婚配。祝英台出嫁在374年暮春，在梁山伯墓前「哀慟地裂而璧埋」，殉情而卒。
在宋代，已有詞牌《祝英台近》，蘇軾、辛棄疾、吳文英等宋詞大家以此詞牌填詞，可見梁祝故事影響愈深。至元代，劉一清的《錢塘遺事》、鍾嗣成《錄鬼簿》皆有梁祝記載，雜劇作家白仁甫創作《祝英台死嫁梁山伯》，惜已散佚。

《識小錄》中出現了「蝴蝶」的意象，使這個悲劇故事中具有了浪漫意味。同為明代的詹詹外史編述了一部《情史類略》（又名《情天寶鑒》），其中在《祝英台》條目中，作者如是說：「梁山伯、祝英台，皆東晉人。梁家會稽，祝家上虞。」又雲：「吳中有花蝴蝶，橘蠹所化。婦孺呼黃色者為梁山伯，黑色者為祝英台。俗傳祝死後，其家就梁冢焚衣，衣於火中化成二蝶。蓋好事者為之也」。作者對於梁祝化蝶之情節，以理性思維作出了否認。詹詹外史一向被認為是馮夢龍的又一別號，問題是馮夢龍在《李秀卿義結黃貞女》（《三言二拍·喻世明言》）中寫到的梁祝故事，明確地演繹了「梁祝化蝶」這個情節，而且梁、祝的籍貫從會稽、上虞變成了蘇州、義興（現宜興），故而詹詹外史與馮夢龍是否同一人，姑且存疑，其文照錄：有個女子，叫做祝英台，常州義興人氏，自小通書好學，聞餘杭文風最盛，欲往游學。其哥嫂止之，曰：「古者男女七歲不同席，不共食，你今一十六歲，卻出外游學，男女不分，豈不笑話!」英台道：「奴家自有良策。」乃裹巾束帶，扮作男子模樣，走到哥嫂面前，哥嫂亦不能辨認。英台臨行時，正是夏初天氣，榴花盛開，乃手摘一枝，插於花台之上，對天禱告道：「奴家祝英台出外游學，若完名全節，此枝生根長葉，年年花發；若有不肖之事，玷辱門風，此枝枯萎。」禱畢，出門，自稱「祝九舍人」。遇個朋友，是個蘇州人氏，叫做梁山伯，與他同館讀書，甚相愛重，結為兄弟。日則同食，夜則同卧，如此三年，英台衣不解帶，山伯屢次疑惑盤問，都被英台將言語支吾過了。讀了三年書，學問成就，相別回家，約梁山伯二個月內，可來見訪。英台歸，時仍是初夏，那花台上所插榴枝，花葉並茂，哥嫂方信了。同鄉三十里外，有個安樂村，那村中有個馬氏，大富之家。聞得祝娘賢慧，尋媒與哥哥議親。哥哥一口許下，納彩、問名都過了，約定來年二月娶親。原來英台有心於山伯，要等他來訪，時露其機括。誰知山伯有事，稽遲在家。英台只恐哥嫂疑心，不敢推阻。山伯直到十月，方才動身，過了六個月了。到得祝家莊，問祝九舍人。時莊客說道：「本庄只有祝九娘，並沒有祝九舍人。」山伯心疑，傳了名刺進去，只見丫環出來，請梁兄到中堂相見。山伯走進中堂，那祝英台紅妝翠袖，別是一般妝束了。山伯大驚，方知假扮男子，自愧愚魯，不能辨識。寒溫已罷，便談及婚姻之事。英台將哥嫂做主，已許馬氏，為辭。山伯自恨來遲，懊悔不迭。分別，回去，遂成相思之病，奄奄不起，至歲底，身亡。囑咐父母，可葬我於安樂村路口，父母依言葬之。明年，英台出嫁馬家，行至安樂村路口，忽然狂風四起，天昏地暗，輿人都不能行。英台舉眼觀看，但見梁山伯飄然而來，說道：「吾為思賢妹，一病而亡，今葬於此地。賢妹不忘舊誼，可出轎一顧？」英台果然走出轎來，忽然一聲響亮，地下裂開丈余，英台從裂中跳下。眾人扯其衣服，如蟬脫一般，其衣片片而飛。頃刻，天清地明。那地裂處，只如一線之細。歇轎處，正是梁山伯墳墓。乃知生為兄弟，死作夫妻。再看那飛的衣服碎片，變成兩般花蝴蝶，傳說是二人精靈所化，紅者為梁山伯，黑者為祝英台。其種到處有之，至今猶呼其名為梁山伯、祝英台也。
在梁祝傳說的演變過程中，清道光歲貢邵金彪作的《祝英台小傳》（《宜興荊溪縣新志》），把梁祝故事「美化完整了」。引述如下：祝英台，小字九娘，上虞富家女，生無兄弟，才貌雙絕。父母欲為擇偶，英台曰：「兒當出外游學，得賢士事之耳。」因易男裝，改稱九官，遇會稽梁山伯亦游學，遂與偕至義興善權山之碧鮮岩，築庵讀書，同居同宿三年，而梁不知為女子。臨別，祝約曰：「某月日可相訪。將告父母，以妹妻君。」實則以身相許也。梁自以家貧，羞澀畏行，遂至衍期。父母以英台字馬氏子。後梁為鄞令，過祝家詢九官。家僮曰：「吾家但有九娘，無九官也。」梁驚悟，以同學之誼乞一見。英台羅扇遮面出，側身一揖而已。梁悔念成疾卒，遺言葬清道山下。明年，英台將歸馬氏，命舟子迂道過其處。至則風濤大作，舟遂停泊。英台乃造梁墓前失聲慟哭，地忽開裂，墜入墓中，綉裙綺襦化蝶飛去。丞相謝安聞其事，奏於朝庭，請封為義婦。此東晉永和時事也。齊和帝時，梁復顯靈異，助戰有功，有司為立廟於鄞，合祀梁祝。其讀書宅稱「碧鮮庵」，齊建元間改為善卷寺。今寺後有石刻，大書「祝英台讀書處」。寺前里許，村名祝陵。山中杜鵑花發時，輒有大蝶雙飛不散，俗傳是兩人之精魂。今稱大彩蝶尚謂「祝英台」雲。
殊為有趣的是，邵金彪此記，把江浙兩省所涉及的梁祝傳說的「關鍵詞」相互混雜，自相矛盾。邵金彪雖是為宜興的地方誌作《祝英台小傳》，然而，其中所記上虞祝英台、會稽梁山伯、梁為鄞令、卒葬清道山、梁山伯廟、合祀梁祝等，皆為浙江的寧波、上虞，而善權山、碧鮮岩、祝英台讀書處、祝陵、大彩蝶等，則為江蘇的宜興——江浙兩省的梁祝傳說、梁祝遺跡、梁祝風物等，邵金彪揉合在了一起，形成此記，留給後人一個迷惑不已的「謎」。然而，梁祝故事在邵金彪筆下確實顯得更完整、更生動了。
四十年代初期，以梁祝故事改編新排的《梁祝哀史》是當時越劇表演的經典劇目，稱為越劇演員的「看家戲」。
張恨水先生的《梁山伯與祝英台》，基本上以越劇《梁祝》情節來展開，寫成小說。言情小說家張恨水在創作《梁山伯與祝英台》時，曾根據民間傳說，考證出十個地方流傳梁祝故事，涉及到浙江、江蘇、山東、甘肅、安徽、河北、山西七省。「……梁祝故事，其間提到會稽上虞的，要佔百分之八十。而根據宋代以後文字，都指明了埋葬地在寧波，也當然，梁祝生產地在浙江了。」（張恨水：《關於梁祝文字的來源》）。

When the flower boat for the bride passed Liang』s tomb，there came a fresh gale,which caused the wave to surge so that the boat could not go any further,informed that Liang』s tomb was on the shore，Zhu ran there and knelt down in front of the tomb waiting bitterly.
Suddenly the skies fell and the earth cracked.Liang』s tomb split open.Seizing this opportunity, Zhu jumped into the tomb,and soon the tomb closed, burying Zhu inside.
Then the rain passed off, and the sky cleared up； the wind abated, and waves calmed down.

3年的同窗生涯，祝英台愛上了梁山伯，梁山伯卻不知道祝英台是女兒身。臨別之際，祝英台邀請梁山伯到祝家莊去，並說要告訴父母把自己的妹妹嫁給梁山伯為妻。可梁山伯因為囊中羞澀，遲遲未能成行。

到了成親的日子，馬公子派花舟來接祝英台。當新娘的花舟經過梁山伯的墓地時，突然颳起了大風，直吹得波浪滔天，船不能行。祝英台一問才知道，梁山伯的墓地就在岸邊。祝英台跑到岸上，跪在梁山伯的墓前放聲大哭。
